2. Project Scope and Changes

A detailed project proposal will outline the scope of work, deliverables, timelines, and fees. Any changes to the project scope require a written Change Order, outlining the changes, costs, and revised timelines.

3. Fees and Payment

Fees are outlined in the project proposal and are due upon completion of milestones or delivery of deliverables. Additional costs, such as hosting, licensing, or third-party expenses, will be billed separately. Late payments may incur interest charges.

4. Intellectual Property Rights

Upon full payment, you receive a non-exclusive, perpetual license to use the final deliverables for their intended purpose. We retain ownership of preliminary works, working files, and design tools. Any trademarks created for you will be assigned to you.

5. Client Responsibilities

You will provide all necessary content, feedback, and approvals promptly. You will ensure that any content you provide is accurate, legal, and does not infringe on the rights of others.

6. Limitation of Liability

Our liability is limited to the fees paid for the services. We are not responsible for indirect or consequential damages.

7. Termination

Either party may terminate the agreement for material breach with written notice. Upon termination, you will pay for completed work, and we may provide project backups for a fee.

8. Governing Law

This agreement is governed by the laws of Kenya. Notices must be in writing and sent to the registered offices of the parties.

9. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any significant changes by posting an update on our website.
